Yum! Brands has agreed to sell Pizza Hut in two separate transactions totaling $2.7 billion, marking a significant restructuring for the Louisville-based fast food conglomerate that also owns KFC, Taco Bell, and Habit Burger & Grill. Who Is Buying Pizza Hut

The sale splits Pizza Hut along geographic lines. LongRange Capital, a private equity firm focused on consumer and restaurant operations, is acquiring Pizza Hut’s international and U.S. business — everything outside Mainland China — for approximately $1.5 billion. Yum China Holdings (NYSE: YUMC; HKEX: 9987) is purchasing Pizza Hut’s Mainland China operations for approximately $1.2 billion.

How Much Yum! Brands Will Net from the Deal

After taxes, closing adjustments, and transaction fees, Yum! expects to receive approximately $2.3 billion in net proceeds across both transactions, excluding a potential $75 million earn-out tied to Pizza Hut Ex-China performance through 2030. The company also expects to incur roughly $85 million in one-time separation expenses during the remainder of 2026.

What Happens to Pizza Hut’s Technology and Operations

Yum! will continue supplying its proprietary Byte by Yum! technology platform to Pizza Hut Ex-China following the sale. A transition services agreement will keep certain corporate functions in place to support an orderly separation, with service fees expected to offset Yum!’s corporate overhead historically allocated to the Pizza Hut division.

Why Yum! Brands Is Selling Pizza Hut

Yum! launched a strategic review of Pizza Hut in November 2025. The company’s board concluded the sale was the best path to maximize shareholder value while placing each regional business under ownership better suited to its specific market. Following the close, Yum! will no longer report a Pizza Hut division, allowing it to concentrate on KFC, Taco Bell, and Habit Burger & Grill.

What Yum! Plans to Do with the Proceeds

Yum!’s board approved a new $4 billion share repurchase authorization concurrent with the transaction approval. The company says proceeds will be deployed in line with its capital allocation strategy, which includes reinvesting in the business and returning capital to shareholders. Additional financial guidance will be provided during Yum!’s second-quarter earnings call on July 30, 2026.
